Last Updated: January 2, 2026

These Website Terms of Use (“Terms”) govern your access to and use of the website located at https://www.phasewheel.com and any related content, functionality, or services available through it (collectively, the “Site”).

In these Terms, “Company,” “we,” “us,” and “our” refer to the owner of the Site (Phasewheel, LLC). “You” refers to any visitor or user of the Site.

  1. Acceptance of Terms

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Site.

You represent and warrant that you are at least 18 years old and have the legal capacity to agree to these Terms.

  2. Changes to the Terms and the Site

We may update these Terms or modify the Site from time to time. We will indicate the date of the latest update at the top of these Terms. Your continued use of the Site after any update constitutes your acceptance of the revised Terms.

We may discontinue or suspend any part of the Site at any time.

  3. Site Purpose and No Client Relationship

The Site provides general information about our AI-focused marketing and related services, including descriptions of our capabilities, case studies, thought leadership content, and a way to contact us.

    • The Site is for informational and marketing purposes only.
    • Nothing on the Site constitutes legal, financial, tax, or other professional advice.
    • Viewing the Site or contacting us through it does not create a client or agency relationship. Any services we provide are governed by a separate written agreement.
  4. AI-Generated and Automated Content

Our business focuses on AI-enhanced marketing. Certain portions of the Site, including blog posts, examples, tools, or demonstrations, may reflect or incorporate content generated, summarized, or assisted by artificial intelligence or other automated systems.

    • AI-assisted content can be incomplete, outdated, or inaccurate.
    • You should not rely on AI-assisted content as a sole basis for decisions; always seek human review and professional advice appropriate to your situation.
    • We may use third-party AI providers or platforms, which process data under their own terms.
  5. Intellectual Property

Unless otherwise indicated, the Site and all content on it, including text, graphics, logos, icons, images, audio, video, and the design and arrangement of these elements (collectively, “Content”), are owned by or licensed to the Company and are protected by intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to access and view the Site and Content for your own internal business purposes.

    You may not:

    • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content, except for automatic caching by your browser or a single copy for your internal business use.
    • Remove any copyright, trademark, or other proprietary notices.
    • Use any trademarks, service marks, trade dress, or logos displayed on the Site without our prior written consent.

All rights not expressly granted are reserved.

  1. User Submissions and Contact Form

The Site may include contact forms, email links, or other methods that enable you to submit information to us (“User Submissions”).

By submitting information through the Site, you:

    • Represent that the information is accurate and that you have the right to share it.
    • Agree not to provide confidential or proprietary information unless we have a separate written agreement covering that information.
    • Acknowledge that no attorney-client, fiduciary, or confidential relationship is created solely by your submission.

You grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display your User Submissions as reasonably necessary to operate the Site, respond to inquiries, and evaluate or provide our services.

If the Site ever enables public posting (for example, comments on blog posts), you agree not to post any content that is unlawful, infringing, deceptive, misleading, obscene, harassing, or otherwise objectionable, or that violates any third-party rights.

We may remove any User Submission from the Site at our discretion.

  2. Acceptable Use

    You agree not to:

    • Use the Site in any manner that violates applicable law or regulation.
    • Interfere with, damage, or disrupt any part of the Site or any server or network connected to it.
    • Attempt to gain unauthorized access to the Site, accounts, computers, or networks.
    • Use any automated means (including bots, crawlers, or scrapers) to access the Site, except for standard search engine indexing.
    • Reverse engineer, decompile, or attempt to derive the source code of any software on or associated with the Site, except where permitted by law.

We may monitor use of the Site and may restrict or terminate access if we believe these Terms have been violated.

  3. Third-Party Content, Links, and Tools

The Site may link to, reference, or integrate third-party websites, products, services, analytics tools, AI platforms, or social media features. These third parties are independent of us.

We do not control and are not responsible for third-party content, policies, or practices. Your use of any third-party site, service, or tool is at your own risk and subject to that third party’s terms and privacy policies.

  4. No Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

    • The Site will be uninterrupted, secure, or error-free.
    • The Site or any Content will be current, complete, accurate, or reliable.
    • Any defects will be corrected.
    • The Site is free of viruses or other harmful components.

You are responsible for implementing safeguards to protect your systems.

  5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS OWNERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow limitations of certain damages, so some of these limitations may not apply to you.

  6. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

    • Your use of the Site.
    • Your violation of these Terms.
    • Your violation of any law or third-party right.
    • Your User Submissions.
  7. Governing Law; Venue

These Terms and your use of the Site are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.

  8. Changes, Suspension, and Termination

We may suspend or terminate your access to the Site at any time, including where we believe you have violated these Terms. Upon termination, your right to use the Site will end promptly.

Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will remain in effect.
